Corporate/M&A Paralegal Our Business Group has an excellent opportunity for a Corporate/M&A Paralegal in the Orlando office. This is a non-exempt position that reports to the Corporate Practice Group Leader. Our ideal candidate has experience supporting attorneys by performing routine and advanced tasks in a high-volume, complex, and productive practice, and will work primarily with corporate and business attorneys in the Orlando office. Responsibilities: • Handles all aspects of the formation of entities, including preparing articles of incorporation/organization, bylaws, operating agreements, shareholders agreements, and other governing documents, stock/membership certificates, resolutions, "S" Corp elections, SS-4 forms, and related documents. • Coordinates the filing of corporate and other documents with governmental agencies. • Assists with the preparation of legal documents such as contracts, stock and asset purchase agreements, transactional documents for mergers and acquisitions, assignments, bills of sale, stock transfer documents, closing certificates and other closing documents for review, approval, and use by attorney. • Maintains client corporate record books, and prepares all incorporation proceedings, qualifications, mergers, and dissolution documents. • Conducts UCC, lien, judgment, pending suit, bankruptcy, and other due diligence searches, and orders corporate documents from various county and state offices. • Performs due diligence review in connection with transactions, including reviewing contracts and results of due diligence searches. • Interacts with attorneys, clients, and outside parties on a regular basis regarding various legal matters. • Supports the securities practice and participates in public and private securities offerings and securities compliance matters, including preparing Form IDs and Form Ds, as well as assisting with the preparation of Form 8-Ks, committee resolutions, and other corporate governance matters. • Assists in coordinating closings including preparing closing critical dates memoranda, closing checklists, and closing documents, coordinating the delivery and execution of documents, and preparing closing binders. • Oversees practice area form files. • Other duties as requested and assigned. Requirements: • Education and experience – minimum of 3 years of experience. • Bachelor's degree is preferred or Paralegal Certificate at a minimum; equivalent combination of education, training and experience may substitute for education requirements. • Experience supporting transactional and finance matters required. • High proficiency in grammar, proofreading, and transcription. • Ability to apply common sense understanding to carry out instructions furnished in written, oral, or diagram form. • Must exercise discretion with confidential and sensitive information and use good judgment while prioritizing needs of the clients and the firm. • Strong organizational skills and attention to detail. • Ability to define problems, collect data, establish facts, and draw valid conclusions. • Proficiency in Microsoft Office, Adobe Acrobat, DocuSign, document management systems, and time entry systems. • Ability to communicate professionally and manage multiple deadlines simultaneously. • Ability to work overtime when needed. • This position is in-office. Specific duties as a Managing Partner (Proprietor) will include: • Managing all employees to maintain high employment quality standards consistent with the Outback Steakhouse Brand (includes hiring, development, counseling, promotion, discipline and termination as appropriate) • Maintaining all employee files and ensuring that all required documentation is complete and accurate • Ensuring that the restaurant is fully staffed, and employees are trained in all aspects of job responsibilities • Implementing effective security protocols to always ensure the ongoing safety of both our employees and guests. • Respond to complaints, with the goal of turning dissatisfied guests into return guests • Developing initiatives to build sales, profitability and guest counts • Verifying that all menu items are made according to the recipe and that presentation is up to Outback Steakhouse standards • Adhering to company standards and service levels to increases sales and minimize costs • Maintaining proper inventory levels and placing orders within established guidelines • Managing restaurant P&L • Enforcing safety and sanitation, maintenance and regulatory compliance for the entire restaurant and premises • Ensuring that all operational basics and standards are adhered to with total commitment and passion • Overseeing all restaurant administrative requirements including cash handling, completion of guest liability, property, casualty, workers compensation reports, and governmental compliance • Ensuring that the Outback's Principles and Beliefs are continually taught and practiced • Leading the restaurant and its employees in active community involvement with a strong presence at events, clubs, and organizations • Demonstrating high ethical judgement, adhering to standards laid out in the Company's Code of Ethics policy Job Requirements As a Managing Partner (Proprietor), dependability, self-reliance, passion for great food and exceptional customer service is essential. A combination of a winning personality with professional dedication and a team-oriented attitude is key. Strong organizational, time-management and prioritization skills are also important attributes for this role.
