Job Expectations: The Corporate Paralegal is responsible for providing legal and administrative support for corporate legal matters. This includes drafting, reviewing, and managing corporate documents, corporate governance, compliance matters, and intellectual property matters. This position also involves assisting in the preparation of board materials, filing corporate documents to include annual reports, new entity filings and EIN requests, maintaining company records, and ensuring compliance with corporate governance regulations and best practices. The ideal candidate should have extensive corporate legal experience, excellent organizational skills, strong attention to detail, and a thorough understanding of corporate governance principles as well as experience with corporate law, a keen understanding of business structures and operations and be self-sufficient in the drafting, filing, and organization of needed documents for corporate governance (annual reports, meeting minutes, bylaws, articles, resolutions, corporate actions, etc.) To perform this job successfully, an individual must be able to perform each essential duty satisfactorily and to operate independently once tasks are given. Key Responsibilities: • Document Preparation & Review: Draft, edit, and review various corporate documents such as contracts, agreements, bylaws, and resolutions. Maintain corporate books for multiple entities. • Corporate Governance: Organize and maintain corporate records, including corporate minutes, shareholder meetings, board resolutions, and shareholder registers. Ensure compliance with state and federal regulations regarding corporate governance. • Legal Research: Conduct research on corporate law issues, business regulations, and industry practices. Stay up to date on legal trends and regulatory changes that affect corporate operations. • Compliance: Monitor compliance with corporate laws and regulations, including filings with regulatory bodies. Assist with the creation and implementation of corporate policies and procedures. • Legal Administration: Manage and organize corporate files, maintain legal databases, and track deadlines for compliance and regulatory filings. Prepare and maintain accurate legal correspondence and reports. • Litigation Support (very limited): Provide minimal paralegal support in corporate litigation matters, including document management, witness preparation, and filing with the courts. Qualifications: • Education: Bachelor's degree and paralegal certification (e.g., NALA, NFPA) are preferred. • Experience: At least seven (7) years of experience as a paralegal or senior administrative assistant in corporate law. Strong knowledge of corporate legal practices, including mergers and acquisitions, corporate governance, and compliance. • Skills: Proficiency in legal research, Microsoft Office Suite, and legal document management software. Strong organizational, communication, and writing skills. Attention to detail and ability to manage multiple tasks in a fast-paced environment. Deputy Chief Compliance Officer The Deputy Chief Compliance Officer reports directly to the Chief Compliance Officer and supports the retail business lines of StoneX Wealth Management. This role is responsible for assisting in the design, implementation, and oversight of compliance programs across both broker-dealer and investment advisory operations. The ideal candidate will possess strong communication and writing skills, advanced analytical capabilities, and significant experience using Microsoft Excel for data management and regulatory reporting. The role requires the ability to manage multiple priorities in a fast-paced, highly regulated environment. Responsibilities • Provide guidance to employees on compliance with the Code of Ethics (COE), Written Supervisory Procedures (WSPs), and applicable regulatory requirements • Assist the CCO in coordinating and executing annual compliance reviews, including FINRA Rule 3120 and Advisers Act Rule 206(4)-7 reviews • Perform recurring compliance monitoring and reporting functions, including review of surveillance reports, exception reporting, and supervisory controls • Review supervisory activities related to advisory programs to ensure adherence to internal policies and regulatory standards • Assist in drafting, reviewing, and maintaining regulatory disclosures, including Form CRS and Form ADV (Part 2 and Part 3) • Prepare and file regulatory submissions for RIA entities and affiliated firms, including Forms ADV (1A), ADV-E, 13F, NP-X, 13H, and other required filings • Review and approve marketing materials and internal communications for regulatory compliance, as needed • Conduct regulatory research and assist in preparing responses to regulatory inquiries, audits, and examinations • Assess and evaluate daily operations and implement automation where appropriate to streamline operating functions. Collaborate with cross functional compliance, AML and supervision teams to support daily initiatives • Supervise staff that supports both investment advisory and broker dealer compliance initiatives • Perform additional duties as required to support the compliance function and broader business needs Qualifications • Bachelor's degree or equivalent industry experience required • FINRA Series 7 and Series 24, Series 65 or 66 required; • Minimum of 5 years of compliance or related financial services experience preferred • Strong knowledge of broker-dealer and investment adviser operations, including: • Trading and custody processes • Account onboarding and maintenance • Billing and performance reporting systems • Working knowledge of the Investment Advisers Act of 1940 and related rules • Ability to interpret and apply regulatory requirements to business practices and assist in developing compliant policies and procedures • Strong analytical, problem-solving, and organizational skills • Excellent written and verbal communication skills • Advanced proficiency in Microsoft Excel (Access or other data tools a plus) • Demonstrated ability to manage multiple priorities and meet deadlines • Proven ability to build effective working relationships across business lines • Leadership skills with the ability to delegate, guide, and mentor others in a professional and ethical manner Hiring Salary Range $120,000 - $170,000 (Salary to be determined by the education, experience, knowledge, skills and abilities of the applicant, internal equity and alignment with market data.) NWS operates water vending machines in retail stores across the country. We're building a team of Field Technicians in WINTER PARK NORTH, FL to keep those machines clean, stocked, and running right. What You'll Actually Be Doing Each week (or every two weeks, depending on the location), you'll visit your assigned stores and: • Clean and disinfect the FreshPure machine inside and out • Take meter readings and log the data on your service report • Snap photos of the machine condition at every visit • Submit your completed report to the home office when you're done • Call in anything that looks off — damage, mechanical issues, anything unusual That's it. Each stop takes about an hour. Your total hours per week depend on how many stores are on your route.
